We advise on all aspects of Corporate Finance. Our experience includes acting in major MBO’s, MBI’s and fundraisings and our role in acting for funders, investors or corporates ensures that we have an in depth understanding of the perspectives of each participant in the exercise.

• assistance with start up, early stage, and angel investment funding
• negotiating and documenting investment agreements for syndicated investments by public funders and private PE (Private Equity) providers
• assisting corporates to be “Investor ready”, ensuring proper structuring of investee companies to be fit for investment
• conducting due diligence for banks and investors
• negotiating IP/technology licences and transfers [Intellectual Property, IT & Outsourcing]
• negotiating debt funding packages, vendor loan finance and mezzanine finance agreements

• advising on articles of association with particular reference to “leaver” provisions, drag and tag, and related matters
• advice to executive & non executive directors
